Terms of Service for DeepWeb Platform, LLC

Introduction

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using https://www.thedeepweb.co (the "Service") operated by DeepWeb Platform, LLC ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. USE OF SERVICE

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national, federal, state, or local law or regulation.

• To transmit, or procure the sending of, any advertising or promotional material, including "spam" or similar solicitations.

• To impersonate or attempt to impersonate DeepWeb Platform, LLC, a DeepWeb Platform, LLC employee, another user, or any other person or entity.

• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.

2. ACCOUNTS

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

3. INTELLECTUAL PROPERTY

The Service and its original content, features, and functionality are and will remain the exclusive property of DeepWeb Platform, LLC and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without the prior written consent of DeepWeb Platform, LLC.

4. USER-GENERATED CONTENT

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post on or through the Service.

By posting User Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, modify, publicly perform, publicly display, reproduce, and distribute such User Content on and through the Service. You retain any and all of your rights to any User Content you submit, post, or display.

You represent and warrant that: (i) the User Content is yours or you have the right to use it, and (ii) the posting of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be objectionable.

5. SUBSCRIPTIONS

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or DeepWeb Platform, LLC cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our support team at legal@thedeepweb.co.

A valid payment method, including credit card or other accepted payment methods, is required to process the payment for your Subscription. You shall provide DeepWeb Platform, LLC with accurate and complete billing information.

Refunds are not provided except as expressly stated in our Refund Policy.

6. Refund Policy

6.1 All Sales Are Final

All payments for Deep products and services are final and non-refundable, except where required by applicable law. This includes subscription charges, renewals, upgrades, downgrades, and unused portions of any billing cycle.

6.2 No Refunds for Subscription Periods Already Billed

Fees for monthly and annual subscriptions are billed in advance and are not eligible for refunds, including (without limitation):

• partial months of service

• unused time within a billing period

• cancellations made after a renewal charge

• failure to use or access the service

6.3 Cancellation Does Not Trigger a Refund

Canceling a subscription stops future billing but does not generate a refund for amounts already paid. Access continues until the end of the current billing period.

6.4 Annual Plans

Annual subscriptions are billed upfront for the full year and are non-refundable. You may cancel at any time to prevent renewal, but no partial or pro-rated refunds are provided.

6.5 Billing Errors and Duplicate Charges

If you believe you were incorrectly charged or billed more than once for the same service, you must contact Paddle (our Merchant of Record) or Deep within 14 days of the charge. Verified billing errors will be refunded.

6.6 Paddle as Merchant of Record

All payments, invoicing, tax handling, and refund determinations required by law are processed by Paddle.com, the Merchant of Record for all payments made through the Service. Any legally mandated refunds (e.g., certain EU consumer rights) will be handled by Paddle according to their policies and applicable regulations.

6.7 Legal Exceptions

If consumer-protection laws in your jurisdiction mandate a right to withdraw or receive a refund, Deep and Paddle will honor such rights strictly to the extent required by law.

7. LIMITATION OF LIABILITY

In no event shall DeepWeb Platform, LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• (i) your access to or use of or inability to access or use the Service;

• (ii) any conduct or content of any third party on the Service;

• (iii) any content obtained from the Service; and

• (iv) unauthorized access, use or alteration of your transmissions or content.

8. Payment Disputes and Chargebacks

You agree to first contact DeepWeb Platform, LLC or Paddle to attempt to resolve any billing disputes before initiating a chargeback with your payment provider. Unauthorized or invalid chargebacks may result in suspension or termination of your account. Paddle, as our Merchant of Record, will make the final determination on all payment disputes pursuant to applicable law and their policies.

9. DISCLAIMER

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

9.1 Third-Party Services Disclaimer

The Service may integrate with or rely on third-party products, services, or platforms. DeepWeb Platform, LLC is not responsible for the availability, performance, features, or terms of any third-party services, and makes no warranties regarding them. Your use of third-party services is governed solely by those third parties’ terms and policies.

10. AGE RESTRICTIONS

The Service is intended for users who are at least 13 years of age. By using the Service, you represent and warrant that you are at least 13 years of age. If you are under 13, you may not use the Service.

11. TERMINATION

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

12. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions.

13. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association in United States. The arbitration shall be conducted in the English language.

14. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
